Software License And Support Agreement

4.2. Marketplace Applications. As further described in the Atlassian Marketplace Terms of Service, Atlassian Marketplace lists a large number of applications that can be used with the software, including Atlassian applications and third-party applications. Atlassian Software Applications are considered “Software” for the purposes of this Agreement (unless otherwise specified by Atlassian on the Atlassian Marketplace). Third-party applications are not software and remain subject to the applicable terms of the provider. Atlassian may enable interoperability of the software with third-party applications in accordance with Section 4.1 (Third-Party Products). The terms “Applications”, “Atlassian Apps”, “Third Party Applications”, “Suppliers” and “Supplier Terms” are defined in the Atlassian Marketplace Terms of Use, which are a separate agreement governing the use of the Atlassian Marketplace. 6.2 Licenses. Termination of support services or failure to extend them does not affect licenses of licensed products acquired by Customer, except as otherwise provided in the Agreement.

7.2 The customer must first and foremost take care of its internal users. This first involves recording all questions/comments about the software and, if the customer deems it appropriate, forwarding them to the customer`s representatives. 5.2 Termination. This Agreement, including all licenses granted under this Agreement, may be terminated as follows: (a) with immediate effect by either Party if the other Party fails to fulfil any of its essential obligations under this Agreement and such omission continues thirty (30) days after receipt of written notification; (b) by one of the parties, after written notice, in the event of the insolvency of the other party: (i); (ii) pre-benefiting from an assignment for the benefit of creditors; (iii) file an application for voluntary insolvency; (iv) comply with any application for involuntary bankruptcy; (v) declared insolvent; or (vi) suspends operations; or (c) SDL immediately upon written termination in the event of a breach of Section 2 (Licensing). 13.4. Consequences of Termination. Upon expiration or termination of this Agreement, your license to the Software (even if the term of the license is indicated as “unlimited” or if your order does not specify an expiration date) and you must stop and remove in your possession the use and deletion (or at our request) of all software and confidential information or other Atlassian materials in your possession (or return them at our request), including on third-party systems operated on your behalf. You will confirm this deletion at our request. If you terminate this agreement in accordance with clause 13.2 (termination for a material reason), Atlassian will reimburse you for all prepaid software fees covering the remainder of the current license term after the effective date of termination.

If atlassian terminates this agreement in accordance with clause 13.2 (termination for a material reason), you pay all outstanding fees covering the remainder of the license term in effect after the effective date of termination.
